CHAPTER I
VISION, MISSION, PURPOSE, GOALS, STRATEGY, TARGET AND VALUES
ARTICLE 1: VISION
We want to see orphans, widows, the elderly and the disabled, especially in targeted areas where poverty is eradicated and fully developed, and orphans, widows, the elderly and the disabled live in prosperity, happiness, food security, adequate shelter, and adequate nutrition. There are human rights, democracy and sustainable ownership.
ARTICLE 2 : MISSION
Establish and strengthen local organizations through human resource development and raising the living standards of orphans, widows, the elderly and the disabled so that they can participate and be able to respond to their basic needs independently and sustainably.:
A. Raise their level of responsibility and conscience through informal and sustainable education on all things related to new knowledge, dignity and comfordiv living of orphans, widows, the elderly and the disabled who are the cells of society Khmer morality, culture, tradition, law, science, technology.
B. Raise the living standards of the people, reduce poverty through education, training and other income-generating activities such as agriculture, handicrafts, animal husbandry and find markets for the products that people make both at home and abroad.
C. Provide new knowledge for the people to participate in and support the decentralization policy of the Royal Government of the Kingdom of Cambodia.
ARTICLE 3: PURPOSE
To contribute to the sustainable development of Cambodia, Global Humanitarian Aid for Social Development aims to promote and enhance the values of orphans, widows, the elderly and the disabled to become human resources, good citizens and have a better life towards the goal. The organization wants to and will establish relationships between NGOs, civil society, government, the private sector and cooperate with the communities in the target areas and fully participate in problem solving and development work responsibly and live a sustainable life. Better and more sustainable.
ARTICLE 4: GOALS
To achieve the above objectives (Goals), Global Humanitarian Aid for Social Development aims to enable Cambodians, especially poor families, orphans, widows, the elderly and the disabled, to develop their capacity to sustain their basic needs through Helping people to have a sufficient basis for the development of themselves, their families and communities, as well as the development of modern human resources and technology.
ARTICLE 5: STRATEGY
Develop the capacity of orphans, widows, young people, the elderly and the disabled (from the community and the government) by implementing participatory problem-solving principles to meet beneficiaries’ basic needs and avoid dependence Completely on the long-term external environment. Global Aid and Social Development will strengthen work through various partners such as:
A. Community agents (village volunteers) who continue to provide training and support to local NGOs and beneficiary families.
B. Local civil society organizations, national NGOs, government institutions and the private sector.
ARTICLE 6: TARGET
Based on the organization’s mission and research results, our organization will provide services to target groups to help: poor people, widows, youth, orphans, the elderly and the disabled who do not benefit from society.
ARTICLE 7: VALUES

- Willing to work with the community, especially poor families and vulnerable people with equity.
- Respect and accept the opinions of others, work in a team with confidence.
- Gender Equality, Compassion and Solidarity

- Follow the good ethics stated in the organization’s policy.
CHAPTER II
NAME, HEADQUARTER,IDENTITY, LOGO, AND STAMP
ARTICLE 8: NAME
The association’s name shall be: អង្គការជំនួយមនុស្សធម៌សកល ដើម្បីអភិវឌ្ឍន៍សង្គម in Khmer. It shall have the abbreviated name in Khmer: ជ.ម.ស.អ.ស the organization’s name shall be: Global Humanitarian Aid for Social Development Organization in English. It shall have the abbreviated name in English: “G.H.A.S.D.O.”.
ARTICLE 9: HEADQUARTERS
The address of the headquarters of the Global Humanitarian Aid for Social Development shall be: House No 08, Street Plov Lum, Choeung Ek Village, Sangkat Dangkor, Khan Dangkor, Phnom Penh City, Kingdom of Cambodia. The Global Humanitarian Aid for Social Development may have its branch offices anywhere in the Kingdom of Cambodia or abroad as needed by the organization. The Organization’s headquarters and its branch offices (if it may exist) may be relocated as deemed necessary by the decision of the Steering Committee with a simple majority vote (50%+1) of a quorum of the 2/3 (two-thirds) of the members of the Steering Committee.
ARTICLE 10: IDENTITY
The Global Humanitarian Aid for Social Development is an independent, neutral, non-profit, non-government organization, non-racist, non-religious, no bias of political tendencies, non-politic, not tool of any political parties which does not provide materials, funding, human resources to support any political party or candidate or any supporter, is an organization serving for public interests , Education and health field only.
ARTICLE 11: LOGO
A logo of the Global Humanitarian Aid for Social Development is set in a separate annex attached to these Statutes.
ARTICLE 12: STAMP
A stamp of the Global Humanitarian Aid for Social Development is in the shape of double circles with a diameter of 34 millimeters. The first outer circle shows the organization’s name in Khmer and the second inner circle shows the organization’s name in English. In the center of the circle is an image of the organization’s logo. The stamp ink shall be blue.vv
CHAPTER III
NAME, HEADQUARTER,IDENTITY, LOGO, AND STAMP
ARTICLE 13: MEMEBERSHIP
The Cambodian citizens of both sexes, aged over 18 years, who reside either inside or outside the country and any Cambodian- born or Cambodian-national can be member of the Organization, regardless of his/her political trend, religious beliefs, and social class. Foreigner can also apply for the GHASD’s membership. The application for membership must be made in writing in the prescribed format of the organization. There are three types of the Organization members as follow:
1. Founding member: is the person who initiated the idea to help this organization, regardless of personal interests.
2. Active member: is a participant in the activities of the organization, including discussions, experience, work and suggestions.
3. Support members: are those who provide resources such as material, budget and spirit of support for the organization to operate in accordance with its objectives.
ARTICLE 14: STAFF RECRUITMENT
The Global Humanitarian Aid for Social Development may recruit staffs to work for the Organization as needed, which shall be carried out through the exams or tests, and shall sign a labor contract by complying with the Labor Law and Immigration Law of the Kingdom of Cambodia.
ARTICLE 15: ROLES AND UITIES OF THE MEMBER AND STAFF
All members and staff of the Global Humanitarian Aid for Social Development Organization shall perform duties under their roles and responsibilities as determined in the statutes, internal rules and decisions of the organization.
ARTICLE 16: MEMBERSHIP TERMINATION
The loss of membership and being staff of the Organization is determined in the below conditions:
- Dead
- Termination of employment contract
- Submitting a written resignation letter directly to the Executive Committee within 15 days before resigning;
- Having been terminated by a decision of the Executive Committee according to the 50%+1 (Fifty plus one) votes of the Executive Committee members after receiving corrections/ advising for 2 times from the president of the Organization and still be repetitive with non-respect for the Statute, Internal Regulations and decisions of the Organization;
- Being guilty of misdemeanor or any criminal offenses, which has final judgment from the Court of the Kingdom of Cambodia; and
- Having mental disorder or mental illness with a certifying letter issued by any legal hospital in the Kingdom of Cambodia.
ARTICLE 17: LAYOFFS AND SELECTIONS
In case of any layoffs of staffs and members, Executive Committee shall hold the meeting to select a new person to replace.
ARTICLE 18: STRUCTURES
The Global Humanitarian Aid for Social Development Organization has management structure as follows:
- Assembly: The Assembly is the superior leading section of the Organization, including ordinary and extraordinary of Assembly;
- Board of Director;
- Executive Committee;
- Advisory;
ARTICLE 19: ORDINARY ASSEMBLY
Ordinary Assembly is held every once a year (once a year) with the participation of all members of the Organization as invited by president of the Organization. Honorary members have the rights to participate in the Assembly, but do not have the rights to vote or stand for the election. The procedure, agenda, place and time are the tasks /responsibility of the Administration.
Ordinary Assembily has taks as follows:
- Voting to select of the Board of Director and Executive Committee at the end of the mandate;
- Reviewing, assessing reports on the activities and financial reports, which have carried out so far;
- Reviewing and approving on the direction, purpose, and budget for implementing in the next year;
- Reviewing and approving on the amending of Statute, Internal Regulation or working conditions;
- Reviewing and handling other tasks which is proposed by the Executive Committee.
ARTICLE 20: EXTRAORDINARY ASSEMBLY
In necessary or special case, the Organization can hold the Extraordinary Assembly without time limit, as invited by president of the Organization or the request of 1/3 (one Thirds) of the Executive Committee members of the Organization.
The Extraordinary Assembly has tasks as follows:
- Reviewing, discussing, modifying and approving on the Statute, if necessary;
- Reviewing, deciding on the changing of the Board of Director and Committee Management /President;
- Reviewing and approving on the dissolution of the Organization and the management of the properties of the Organization;
- Reviewing and approving on the amending of Statute, Changing of Statute, Internal Regulation or working conditions;
- Reviewing and Solving/handling other tasks that are necessary in the Organization.
ARTICLE 21: LEGAL MANNER
Decision made by the two types of Assembly can have legal value, unless there is an approval by absolute majority votes of 50% + 1 over quorum participating in the Assembly of at least 2/3 (Two Thirds) of the members of the Executive Committee. The Extraordinary Assembly has tasks as follows:
In case of equal votes, the vote of the Chairman of the Executive Committee is prevailed. Chairman of the Assembly can be the president of the Association or any independent individual based on the selection of the Assembly. In the absence of a quorum, the meeting shall be convened within the next 30 days (thirty days) without limiting the number of quorums to attend.

ARTICLE 22: BOARD OF DIRECTORS
The Board is the supreme body that provides guidance and helps guide the organization in managing the affairs of the organization as a whole
ARTICLE 23: THE COMPOSITION OF THE BOARD OF DIRECTOR
Board members have a term of 3 years (three years) and are eligible to stand for the next term. The Board of Directors consists of at least 3 members (three) including:
1. Chairman : 01
2. Vice President : 01
3. Member : 01
ARTICLE 24: BOARD OF DIRECTORS’ MEETING
The Board of Directors shall meet once a month at the invitation of the Chairman and may hold an extraordinary meeting at the request of the Chairman or one-third (one-third) of the members of the Board.
ARTICLE 25: LEGAL MANNER
Decision made by the two types of Board of Directors’ meeting can have legal value, unless there is an approval by absolute majority votes of 50% + 1 over quorum participating in the Assembly of at least 2/3 (Two Thirds) of the members of the Board of Director.
ARTICLE 26: MANAGEMENT COMMITTEE
The Organizing Committee has 6 members (six members) to be determined and elected by the decision of the meeting.
ARTICLE 27: MEMBERS OF THE MANAGEMENT COMMITTEE
The members of the Organizing Committee are as follows:
1. Director : 01
2. Deputy Director : 01
3. Secretary General/ Secretariat : 01
4.Head of Administration and Finance 01
5. Head of Program : 01
6.Head of Coordination : 01
ARTICLE 28: CHAIRMAN OF MANAGEMENT COMMITTEE
Chairman of Management Committee is the Director or President of the Organization and legal representative of the Organization, which has duties as a person in charge of common works and responsible for all activities of the Organization. President of the Organization may have an advisor as an assistant.
ARTICLE 29: VICE-CHAIRMAN OF MANAGEMENT COMMITTEE
The Vice-Chairman of the Management Committee is the Deputy Director or Vice-Chairman of the Organization who has the role of assisting the Director and Acting Director of the Organization in the absence of the Director through the written transfer from the Director of the Organization.
ARTICLE 30: ADMINISTRA AND FINANCE MANAGER
The Director of Administration and Finance has the following roles and responsibilities:
- Manage administration, property, inventory, prepare standard documents and keep documents
- Manage staff work
- Make minutes of meetings and conferences
ARTICLE 31: ADMINISTRA AND FINANCE MANAGER
The Director of Administration and Finance has the following roles and responsibilities:
- Manage administration, property, inventory, prepare standard documents and keep documents
- Manage staff work
- Make minutes of meetings and conferences
ARTICLE 32: PROGRAM MANAGER
The Program Manager has the following roles and responsibilities:
- Initiate the organization of programs within and outside the organization as a whole.
- Manage all organizational processes and report the results work to the managing director.
- Develop the operational plan and strategy of the whole organization.
ARTICLE 33: COORDINATOR OFFICER
The Coordinator has the following roles and responsibilities:
- Facilitate general affairs within the organization as a whole.
- Implement work according to the organization’s action plan.
- Perform duties as assigned by the organization’s managing director.
ARTICLE 34: MEETING OF MANAGEMENT COMMITTEE
The Meeting of Management Committee shall meet once a month at the invitation of the President and may hold an extraordinary meeting at the request of the President or one-third (one-third) of the members of the Management Committee.
In special or subsequent cases, the organization may meet to decide on urgent matters at the invitation of the President or at the request of a two-thirds (Two-Thirds) quorum of the members of the Management Committee.
ARTICLE 35: LEGAL MANNER
Decision made by the two types of Management Committees’ meeting can have legal value, unless there is an approval by absolute majority votes of 50% + 1 over quorum participating in the meeting of at least 2/3 (Two-Thirds) of the members of the Management Committee.
ARTICLE 36: ADVISORS
- The Organization can select consultants according to the needs of the organization.
- Advisors have the role and responsibilities of providing legislative and strategic advice to assist the Management Committee in making informed decisions.
- The selection of advisors must be decided by the Management Committee 2/3.
ARTICLE 38: AMENDING OR CHANGING STATUTE
Statute of the Global Humanitarian Aid for Social Development Organization can be amended or changed Statute according to the request of the president of the Organization or at the request of 2/3 (two-thirds) of members of the Management Committee of the Organization. The approval on the decision to amend the statute of Global Humanitarian Aid for Social Development Organization is the competence of the Assembly.Statute of the Global Humanitarian Aid for Social Development Organization can be amended or changed Statute according to the request of the president of the Organization or at the request of 2/3 (two-thirds) of members of the Management Committee of the Organization. The approval on the decision to amend the statute of Global Humanitarian Aid for Social Development Organization is the competence of the Assembly.
